Corporate tax
Inactive corporation with no income: do you still need a T2 return?
No revenue does not automatically remove a corporation’s T2 filing obligation. Check the tax year, outstanding accounts and separate annual-return task.
No income and no filing obligation are different claims
CRA's guidance for resident corporations includes inactive corporations in the annual T2 filing requirement, even if no tax is payable. Specific exceptions include tax-exempt Crown corporations, Hutterite colonies and corporations that were registered charities throughout the year.
For an ordinary small business corporation, do not remove the T2 task solely because the sales ledger is empty. Confirm the corporation's legal status, tax year and account notices with the person preparing its return.
Review what happened during the quiet year
An inactive period can still leave work to explain. Ask the preparer which records are needed for bank charges, professional fees, balances carried forward or other items in the books. This article does not determine the required reporting schedules or whether a particular expense is deductible.
- Confirm the fiscal year-end and which years have been filed.
- Gather the relevant statements, bookkeeping file and prior notices.
- Identify unexplained balances and missing documents.
- Agree who will prepare the return and obtain the submission evidence.
Do not confuse inactivity with closing the business
A pause in trading is not, by itself, a completed legal dissolution or a confirmed closure of every tax account. If the business is closing, obtain advice about the appropriate final returns and account changes. Do not treat a calendar checkbox as evidence that the authorities have completed those changes.
Keep the corporate calendar until the obligations change
Use the corporation profile and its actual fiscal year-end. Keep the T2 deadline visible, and check the registry annual return separately. Once the relevant authority confirms an obligation has ended, review the profile rather than silently deleting the next task because the business had a quiet quarter.
Common questions
Does a zero tax balance mean I can skip T2 filing?
Generally no for an ordinary resident corporation. Check the CRA filing requirement and its specific exceptions.
Does this replace closing a GST/HST or payroll account?
No. Review each account and any final reporting requirements with the relevant authority.
